Welcome to BlackPoint, an electronic platform and application specialized in showcasing and selling abayas and women’s fashion products by connecting merchants, designers, and customers through an integrated online marketplace.

Please read these Terms and Conditions carefully before using the platform. By accessing, registering, or using the platform, you acknowledge and agree to be legally bound by all terms stated herein.

# 1. Definitions

For the purposes of these Terms and Conditions, the following terms shall have the meanings assigned to them below unless the context requires otherwise:

- “Platform” or “BlackPoint”: The BlackPoint website, mobile application, and all related services.
- “Company” or “Management”: The legal entity owning and operating BlackPoint.
- “Customer”: Any individual using the platform to browse or purchase products.
- “Merchant” or “Designer”: Any individual or business entity listing or selling products through the platform.
- “Products”: Abayas and related fashion products listed on the platform.
- “Content”: Images, designs, descriptions, logos, text, videos, and all uploaded or published materials on the platform.

# 2. Nature of the Platform

1. BlackPoint operates solely as an electronic intermediary connecting customers with merchants and designers.
2. Unless explicitly stated otherwise, BlackPoint does not own or manufacture the listed products.
3. Merchants and designers bear full responsibility for:
   - Product quality.
   - Product descriptions and images.
   - Measurements and materials.
   - Shipping and delivery.
   - Compliance with applicable laws and regulations.
4. BlackPoint shall not be held liable for disputes arising between customers and merchants; however, the platform reserves the right to intervene and resolve disputes at its sole discretion.

# 3. Account Registration

1. Users must provide accurate, current, and complete information during registration.
2. Users are responsible for maintaining the confidentiality of their login credentials.
3. Creating fake or misleading accounts is strictly prohibited.
4. BlackPoint reserves the right to suspend or terminate any account suspected of fraudulent, illegal, or unauthorized activity.

# 4. Acceptable Use of the Platform

Users agree not to:

- Use the platform for unlawful purposes.
- Publish offensive, abusive, defamatory, or inappropriate content.
- Violate intellectual property rights.
- Attempt to hack, disrupt, or interfere with the platform’s systems.
- Circumvent platform commissions by conducting transactions outside the platform.
- Upload misleading or false product information.

BlackPoint reserves the right to remove content and suspend accounts without prior notice for any violations.

# 5. Orders and Purchases

1. All orders are subject to acceptance and product availability.
2. BlackPoint or the merchant reserves the right to reject or cancel orders in cases including but not limited to:
   - Product unavailability.
   - Pricing or listing errors.
   - Suspected fraud.
   - Inability to verify customer information.
3. Customers are responsible for reviewing product details, measurements, and descriptions before purchase.
4. Once an order is confirmed and processing has begun, cancellation shall only be permitted according to the Return and Exchange Policy.

1. Prices displayed on the platform may or may not include applicable taxes, as specified.

2. Merchants are responsible for preparing and dispatching orders within the stated timeframe.
3. BlackPoint shall not be liable for delays caused by:
   - Shipping companies.
   - Weather conditions.
   - Force majeure events.
4. Customers are responsible for providing accurate delivery addresses and contact information.

# 8. Return and Exchange Policy

1. Customers may request returns or exchanges in the following cases:
   - Receipt of an incorrect product.
   - Manufacturing defects.
   - Damage during shipping.
2. Return requests must be submitted within five (5) days from the date of delivery.
3. Products must be returned unused and in their original condition.
4. Customized or made-to-order abayas are non-refundable and non-exchangeable unless there is a clear defect or merchant error.
5. Refunds shall be processed according to the platform’s refund policy, either to the electronic wallet or original payment method.
6. Customers shall bear shipping costs for exchanges not caused by merchant error.

1. All intellectual property rights related to the platform are owned by BlackPoint.
2. Merchants and designers retain ownership rights to their uploaded designs, images, and content.
3. Users grant BlackPoint a non-exclusive license to use uploaded content for operational, promotional, and marketing purposes.
4. Copying, reproducing, or reselling any designs or content without authorization is strictly prohibited.

# 10. Merchant and Designer Responsibilities

Merchants and designers acknowledge and agree that they:

- Have the legal right to sell listed products.
- Sell authentic and non-counterfeit products.
- Are fully responsible for product quality and compliance.
- Will fulfill orders within agreed timelines.
- Bear all legal responsibility related to their products.

BlackPoint reserves the right to remove any store or listing that violates these Terms.

# 11. Commissions and Settlements

1. BlackPoint shall receive the agreed commission percentage from each completed sale conducted through the platform.
2. Merchant payouts shall be processed according to the platform’s financial policies.
3. BlackPoint reserves the right to temporarily withhold payouts in cases involving disputes, complaints, or suspected fraudulent activity.

# 12. Limitation of Liability

1. The platform is provided on an “as is” and “as available” basis without warranties of any kind.
2. BlackPoint shall not be liable for any direct, indirect, incidental, or consequential damages resulting from:
   - Misuse of the platform.

   - Merchant or designer misconduct.
3. BlackPoint is not responsible for transactions conducted outside the platform.
